To register a company under the Companies Act 2013, you need to follow the prescribed procedures and fulfil certain requirements. Here is a brief overview of the registration process:
- Obtain Digital Signature Certificate (DSC): The first step is to obtain DSC for the proposed directors and authorized signatories. DSC serves as an electronic signature for the online filing of documents.
- Obtain Director Identification Number (DIN): Each proposed director must obtain a DIN from the Ministry of Corporate Affairs (MCA). DIN can be obtained by submitting an online application with the necessary identification and address proof.
- Name Reservation: Choose a unique name for your company and submit an application for name availability to the MCA. Ensure the name adheres to the naming guidelines and is not similar to any existing company or trademark.
- Preparation of Incorporation Documents: Prepare the necessary incorporation documents, including a Memorandum of Association (MOA) and Articles of Association (AOA). These documents outline the company’s objectives, rules, and regulations.
- Filing of Incorporation Documents: File the incorporation documents, along with the required forms, fees, and supporting documents, through the MCA’s online portal. The documents include Form SPICe (Simplified Proforma for Incorporating Company Electronically) and Form AGILE (Application for Goods and Services Tax Identification Number, Employee State Insurance Corporation Registration, and Employees’ Provident Fund Organization Registration).
- Certificate of Incorporation: Upon successful review and verification of the submitted documents, the Registrar of Companies (RoC) will issue a Certificate of Incorporation. This certificate signifies the legal existence of the company.
- Post-Incorporation Compliances: After incorporation, fulfil other post-incorporation compliances such as obtaining Permanent Account Number (PAN), Tax Deduction and Collection Account Number (TAN), Goods and Services Tax (GST) registration, opening a bank account, etc.
It is important to note that the registration process may involve additional steps and requirements based on the type of company and specific circumstances. Seeking professional guidance from a company secretary or a chartered accountant is advisable to ensure compliance with all legal formalities.
